Product Safety and Use Restrictions

Happy Composites LLC distributes industrial chemical products intended only for professional and approved industrial use. Our resins and chemical materials must be handled in accordance with all applicable safety regulations and the information contained in their Safety Data Sheets (SDS).

Our products must not be used in:

Any medical, food, or pharmaceutical applications involving human or animal contact without prior written authorization or explicit approval in the SDS with the corresponding certifications.
Life-support, implantable, or critical safety systems.
Any unlawful or hazardous applications.

Users are responsible for reviewing and following all relevant SDS and regulatory guidance before using our products. You may request copies of SDS to your Happy Composites sales representative.

Customer Responsibility for Product Integration and Manufacturing

Happy Composites LLC supplies industrial chemical materials and components that are intended to be incorporated, processed, modified, or combined by customers into finished or semi-finished products.

Happy Composites LLC does not control, supervise, or assume responsibility for customer manufacturing processes, formulations, design decisions, quality control systems, storage conditions, handling methods, or end-product applications.

The customer assumes full responsibility for the integration, processing, testing, labeling, marketing, distribution, and performance of any product manufactured using materials supplied by Happy Composites LLC.

Testing, Validation, and Regulatory Compliance

Customers are solely responsible for conducting all necessary testing, validation, and qualification of materials supplied by Happy Composites LLC to determine fitness for their intended use.

Safety Data Sheets (SDS), Technical Data Sheets (TDS), Certificates of Analysis (COA), and any other technical documentation are provided for reference purposes only and do not constitute guarantees of performance or regulatory approval for any specific application or jurisdiction.

Compliance with applicable laws, regulations, industry standards, and certifications, including but not limited to environmental, health, safety, and product-specific requirements, remains the exclusive responsibility of the customer.

Geographic Restrictions

The Website is controlled and operated from Mexico and the United States of America. Access from other locations is at your own risk. Reference to any product or service does not imply that it is available or appropriate for use outside Mexico and the United States.

No Liability for Downstream Products or End-Use Applications

Failure by the customer to verify specifications, performance requirements, regulatory compliance, or suitability for a particular application.

Liability, if any, shall be limited to the value of the specific product supplied by Happy Composites LLC that directly gave rise to the claim.

Indemnification

You agree to indemnify, defend, and hold harmless Happy Composites LLC, its affiliates, and their respective officers, employees, representatives, contractors, and agents from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:

Your use of the Website;
Your breach of these Terms;
Your handling, storage, processing, use, or incorporation of any virtual or physical products, samples, or materials supplied by Happy Composites LLC;

Dispute Resolution; Waiver of Class Actions

At Happy Composites LLC’s sole discretion, any dispute, claim, or controversy arising out of or relating to these Terms, the Website, or any interaction with Happy Composites LLC may be resolved through binding arbitration rather than in court, except where prohibited by law.

To the extent permitted by law, all claims must be brought in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding.

Nothing in this section shall prevent Happy Composites LLC from seeking injunctive or equitable relief to protect its intellectual property or confidential information.

Governing Law and Jurisdiction

These Terms and any disputes arising out of or related to these Terms, the Website, or any interaction with Happy Composites LLC shall be governed by the laws of the State of Texas, without regard to conflict-of-law principles.

Subject to the Dispute Resolution; Waiver of Class Actions section above, any lawsuit, action, or proceeding not subject to arbitration (or to the extent arbitration is unenforceable or does not apply) shall be brought exclusively in the state or federal courts located in Texas, and you consent to the jurisdiction and venue of such courts.

Waiver and Severability

No waiver by the Company of any term shall be deemed a further or continuing waiver.

If any provision is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Governing Terms in Absence of Separate Agreement

If Happy Composites LLC engages in any business relationship, transaction, communication, or provision of products or services with a customer, supplier, or third party in the absence of a separate written contract, master agreement, or service-level agreement executed by both parties, these Terms of Use shall govern and control the relationship to the fullest extent permitted by law.

In the event of a conflict between these Terms and any separately executed written agreement, the terms of the executed agreement shall prevail.

Entire Agreement

These Terms of Use, together with our Privacy Statement, constitute the entire agreement between you and Happy Composites LLC with respect to the Website, any interaction, communication, or engagement with Happy Composites LLC, and any information, materials, products, or services provided, and supersede all prior or contemporaneous understandings, representations, or agreements, whether written or oral, relating thereto.

Nothing in these Terms shall modify or override the terms of any separate written agreement executed by authorized representatives of both parties. In the event of a conflict, the terms of such executed agreement shall prevail.
